Terms of Service

1. Acceptance of Terms

By accessing or using CentreCareOS ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of a childcare center, school, or other organization, you represent that you have the authority to bind that organization to these Terms.

If you do not agree to these Terms, you may not access or use the Service. We reserve the right to update these Terms at any time, and your continued use of the Service constitutes acceptance of any changes.

2. Description of Service

CentreCareOS is a cloud-based childcare management platform that provides tools for:

• Digital attendance tracking and check-in/check-out management
• Automated billing and payment processing
• Parent communication and daily reports
• Staff scheduling and time tracking
• Enrollment and waitlist management
• Incident reporting and documentation
• Lesson planning and curriculum tools
• Photo and media sharing with families

3. Account Registration

To use the Service, you must create an account and provide accurate, complete information. You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized access
• Ensuring all users you authorize comply with these Terms

You must be at least 18 years old to create an account. Childcare centers are responsible for ensuring appropriate staff members have account access.

4. Subscription and Payment

4.1 Subscription Plans

CentreCareOS offers various subscription plans with different features and pricing. Your subscription begins with a free trial period, after which you will be billed according to your selected plan.

4.2 Payment Terms

Subscription fees are billed in advance on a monthly or annual basis. All payments are non-refundable except as expressly stated in these Terms or required by law. We use Stripe to process payments securely.

4.3 Platform Transaction Fees

If you use our integrated payment processing to collect fees from parents, a platform fee of 5% applies to each transaction, in addition to standard payment processing fees.

4.4 Cancellation

You may cancel your subscription at any time. Upon cancellation, you will retain access to the Service until the end of your current billing period. No refunds will be provided for partial billing periods.

5. Data Ownership and Usage

5.1 Your Data

You retain all ownership rights to the data you submit to the Service ("Your Data"). This includes student information, parent contact details, attendance records, photos, and all other content you upload.

5.2 License to Use Your Data

By using the Service, you grant CentreCareOS a limited license to process, store, and transmit Your Data solely to provide the Service to you. We will not sell, share, or use Your Data for advertising purposes.

5.3 Data Export

You may export Your Data at any time through the Service's export features. Upon account termination, you will have 30 days to export Your Data before it is permanently deleted.

6. Privacy and Security

Your privacy is important to us. Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.

We implement industry-standard security measures to protect Your Data, including encryption in transit and at rest, secure data centers, and regular security audits. However, no system is completely secure, and we cannot guarantee absolute security.

7. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of childcare licensing regulations
• Upload content that is harmful, offensive, or violates the rights of others
• Attempt to gain unauthorized access to the Service or other users' accounts
• Interfere with or disrupt the Service or its underlying infrastructure
• Use automated means to access the Service without our permission
• Share account credentials or allow unauthorized users to access your account
• Use the Service to store or transmit malicious code

8. Children's Information

CentreCareOS is designed for use by childcare providers and parents to manage childcare services. The Service processes information about children solely at the direction of childcare centers and parents.

Childcare centers are responsible for obtaining appropriate consent from parents or guardians before entering children's information into the Service. We comply with applicable laws regarding children's privacy, including COPPA (Children's Online Privacy Protection Act) in the United States.

9. Intellectual Property

The Service, including its design, features, and content (excluding Your Data), is owned by CentreCareOS and protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works based on the Service without our written permission.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.

We are not responsible for ensuring your compliance with childcare licensing requirements. You are solely responsible for using the Service in compliance with applicable laws and regulations.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CENTRECAREOS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY.

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

12. Indemnification

You agree to indemnify and hold harmless CentreCareOS and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the Service or violation of these Terms.

13. Termination

We may suspend or terminate your access to the Service at any time for violation of these Terms or for any other reason with notice. Upon termination, your right to use the Service will immediately cease, and you must stop using the Service.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Commonwealth of Massachusetts, United States, without regard to its conflict of law provisions. Any disputes arising from these Terms shall be resolved in the state or federal courts located in Massachusetts.

15. Changes to Terms

We may modify these Terms at any time. We will notify you of material changes by email or through the Service. Your continued use of the Service after such notice constitutes acceptance of the modified Terms.
